ROSELAND, N.J./August 5, 2008 -- Connell Foley LLP recently represented long-time clients, Lumber 1 and Lumber Barn, Inc., in connection with the sale of substantially all of their assets to Kuiken Brothers Company, Inc. (“Kuiken”), a regional building supply business located in Fair Lawn, New Jersey. The transaction represents a combination of two family-run businesses. The acquisition provides Kuiken with a facility in Roseland, New Jersey and will enable the combined companies to continue to service customers in Essex, Morris, and Union Counties. Kuiken will continue to operate out of the former Lumber 1 and Lumber Barn location in Roseland.
Connell Foley Partner John D. Cromie and Counsel Thomas M. Scuderi, both of the Firm’s Corporate and Business Law practice group, handled the transaction on behalf of Lumber 1 and Lumber Barn. Mr. Cromie has represented both clients, as well as their affiliate, Rogers and Sheldon, Inc., for many years and was counsel to the clients in connection with the prior transformation by the clients of approximately 6 acres of under-utilized, prime real estate on Eisenhower Parkway in Roseland, New Jersey. Originally an outdoor lumber facility, this parcel became the Downtown at Roseland commercial shopping center, comprised of approximately 40,000 square feet of retail space, inclusive of the Lumber Barn facility. The project involved a preliminary corporate restructure, multiple site plan applications before the Planning and Zoning Boards in Roseland, New Jersey, the negotiation of 14 commercial leases and the closing of a construction and permanent credit facility.
