Cromie, Humphreys and Villani Represent Hexion Specialty
Chemicals
in Connection with $1 Billion Note Offering

Joseph A. Villani, Jr.,
recently represented Hexion Specialty Chemical,
Inc., a New Jersey corporation (“Hexion”), as special New
Jersey counsel in connection with the issuance and sale by a
Hexion affiliate of 8.875% Senior Secured Notes Due 2018.
The Notes had a face value of $1 Billion.
In
connection with the notes issuance, Hexion amended the terms
of certain senior secured credit facilities to (i) extend
the maturity of certain term loans or revolving commitments;
and (ii) allow for Hexion subsidiaries’ assumption of the
obligations under the notes.
Hexion
simultaneously entered into a Registration Rights Agreement
with the purchasers of the original notes, pursuant to which
Hexion agreed to file a Registration Statement with the
Security Exchange Commission relating to an offer to
exchange the original notes due in 2018 for exchange notes.
The exchange notes had terms substantially identical to the
original notes, except that the exchange notes did not
contain transfer restrictions. Connell Foley LLP also
represented Hexion in connection with the exchange offer.
